Welcome to Song Portraits LLC ("Song Portraits," "we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of our website, platform, and related services (the "Services"). By accessing or using the Services, you agree to be bound by these Terms.

If you do not agree with these Terms, you may not use our Services.

1. Overview of the Service

Song Portraits is a web-based platform that allows fans to submit offers for artists to create custom songs ("Song Portraits"). While the submission process is hosted by us, the creative work is performed by partnering artists.

By using the Service, you acknowledge that:

  • Song Portraits facilitates the submission and communication process,
  • Artists retain full creative discretion over the final delivered work, and
  • You will interact only with the Song Portraits team, not directly with artists.

2. Eligibility

To use the Services, you must:

  • Be at least 18 years old,
  • Provide accurate and complete information, and
  • Use the Services in compliance with all applicable laws.

3. Your Submissions and Responsibilities

When submitting an offer or story:

  • You confirm the information you provide is accurate and lawful.
  • You grant Song Portraits and the assigned artist the right to use the content you submit for the purpose of creating your Song Portrait.
  • You are responsible for ensuring your submission does not violate any intellectual property rights or contain harmful or inappropriate material.

We reserve the right to reject submissions that violate these guidelines or are otherwise inappropriate.

4. Payments and Refund Policy

4.1 Payment Requirements

All payments made via our website or payment processor must be completed in full at the time of submission.

4.2 Non-Refundable Policy

All payments are strictly non-refundable.

This is because:

  • Artists begin reviewing and preparing work upon acceptance,
  • Creative services cannot be "returned,"
  • Your submission reserves a limited creative slot with an artist.

Please submit your offer carefully and thoughtfully.

5. Artist Communication

Customers do not interact directly with artists. All communication—before, during, and after project completion—occurs through the Song Portraits team.

This ensures:

  • Professional boundaries for artists,
  • Clear communication channels,
  • Consistent quality and process,
  • Protection of customer privacy.

6. Creative Process & Final Deliverables

You acknowledge that:

  • Artists maintain full creative control over the style, tone, lyrics, and musical decisions.
  • The final Song Portrait may not reflect every detail you imagined.
  • The artistic process is subjective and cannot be guaranteed to meet all personal expectations.

However, if any issues arise with the final song, our team will work with you to understand the concern and determine an appropriate resolution.

6.1 Resolution Process

While payments remain non-refundable, we may:

  • Provide reasonable revisions (as allowed by the artist),
  • Clarify misunderstandings,
  • Offer support to improve your experience.

Our goal is to deliver a meaningful and high-quality Song Portrait.

7. Intellectual Property

7.1 Ownership

The final Song Portrait delivered to you is for personal, non-commercial use only, unless otherwise agreed in writing.

You may:

  • Download it
  • Share it privately
  • Use it personally

You may not, without explicit written permission:

  • License, sell, or commercially exploit the song
  • Upload it to streaming platforms (Spotify, Apple Music, etc.) for monetization
  • Use it in advertisements, films, or commercial productions

7.2 Artist Rights

Artists retain:

  • Copyright ownership of the composition and recording
  • The right to release, perform, or promote the work unless restricted by separate agreement

Song Portraits may also use non-identifying portions of your submission or final product for marketing purposes unless you request otherwise.

8. Platform Use and Restrictions

You agree not to:

  • Misuse the platform or attempt unauthorized access
  • Engage in fraudulent or harmful activity
  • Interfere with the performance of the Services
  • Submit unlawful, offensive, or harmful content

Violation of these restrictions may result in termination of access to the Services.

9. Disclaimers

The Services are provided on an "as-is" and "as-available" basis.

We do not guarantee:

  • That the final Song Portrait will meet personal subjective preferences
  • That the Services will be uninterrupted or error-free

Song Portraits is not liable for:

  • Delays caused by technical issues
  • Artist availability
  • User-submitted content

10. Limitation of Liability

To the fullest extent permitted by law:

  • Song Portraits is not liable for indirect, incidental, or consequential damages
  • Our total liability for any claim does not exceed the amount you paid for the Song Portrait

11. Indemnification

You agree to indemnify and hold harmless Song Portraits, our artists, and our team from claims arising from:

  • Your misuse of the Services
  • Your submitted content
  • Your violation of these Terms or applicable law

12. Changes to the Terms

We may update these Terms from time to time. When we do, we will update the "Effective Date" at the top. Continued use of the Services after any update indicates acceptance of the updated Terms.

13. Governing Law

These Terms are governed by and interpreted according to the laws of the State of Tennessee, without regard to conflict-of-law principles.
